I have broad experience representing public and private companies in connection with a variety of domestic and international transactional and compliance matters, including stock and asset acquisitions, business combinations, securities issuances, joint venture arrangements, corporate formation and governance, offset arrangements and venture financing.
I represented clients in such diverse areas as oil and gas exploration and production, alternative energy, defense and aerospace, information technology, tourism, aircraft sales and airport services, manufacturing and the Internet. I have also counseled start-up ventures in various industries on organizational, intellectual property and financing issues.
From 2009 to 2014, I was the Partner in Charge of the Baker Botts office in Abu Dhabi, United Arab Emirates and I have extensive corporate, transactional and commercial experience throughout the Middle East. I have advised international and local companies regularly on compliance matters arising from U.S. and local regulations that apply to the conduct of their international operations, including the U.S. Foreign Corrupt Practices Act and antiboycott regulations, as well as applicable sanctions and export regimes.
I am the former Chairman of AmCham Abu Dhabi and have spoken at numerous conferences regarding international trade and investment and doing business in the Middle East. I also served on the Board of Trustees of the American Community School of Abu Dhabi.
I have represented companies and individuals in connection with internal investigations, corporate crisis situations and enforcement actions brought by the U.S. Securities and Exchange Commission, the NYSE and FINRA (formerly the NASD).
Prior to attending law school, I worked on Capitol Hill and for federal political campaign committees and my practice included advising clients with respect to corporate political activity.
