Andy P. Berger is a shareholder of Stevens & Lee and a member of the firmís Corporate Finance and Capital Markets group. Mr. Berger represents regional, national, and international corporations and other business entities in various transactions and other general business and corporate law matters.
Mr. Bergerís practice is focused primarily on the representation of nonpublic businesses and business owners, as both buyers and sellers, in merger and acquisition and related transactions, including debt and equity financing. He also counsels clients in regulatory compliance matters related to merger and acquisition transactions, such as compliance with the Hart-Scott-Rodino Antitrust Improvements Act of 1976. Mr. Berger has worked with clients in various industries, including the manufacturing, pharmaceutical, transportation, publishing, consulting, and retail industries. Mr. Berger has also worked with clients in a broad variety of transactions, ranging from interfamily transfers of interests in family owned businesses having individual transaction values of less than one million dollars to complex international transactions and acquisitions having individual transaction values of over one hundred million dollars.
Mr. Berger also represents and counsels clients in connection with the preparation and negotiation of commercial contracts, including confidentiality and nondisclosure agreements, product manufacturing and supply agreements, distribution agreements, and agreements with vendors.
Mr. Berger received a J.D. from Temple University School of Law in 1998 and a B.A. in Economics from Valdosta State University in 1994. Mr. Berger also served in the United States Air Force from 1988 to 1992.
