Bob Webb has a counseling, planning and transactional oriented legal practice with extensive experience providing counsel to business organizations and handling business and financial transactions. Mr. Webb's practice now focuses primarily upon representation of government contractors, technical and professional service and technology companies.
A native of Tidewater and Southside, Virginia, Bob Webb has practiced law in Northern Virginia since beginning his practice in 1981. Mr. Webb has represented a wide array of businesses over the course of his career which has mirrored the growth of Northern Virginia including technology, government contractor, real estate, health care and others. Typical transactions handled by Mr. Webb include mergers and acquisitions, joint ventures, corporate financial transactions, ownership succession and management buy-outs, and structure of closely held and employee stock ownership program matters. Mr. Webb currently devotes a significant part of his practice to the design and implementation of management and leveraged buyouts and employee stock programs and is recognized as a leading national expert in this field. Mr. Webb also advises businesses on mergers and acquisitions, securities laws and transactions, and venture, private equity, loan and other financial transactions.
Mr. Webb also handles corporate and partnership transactions, corporate governance counsel, business planning tax advice, mergers and acquisitions, entity formation, joint ventures, business advice, lending transactions, business ownership and control disputes, structuring transactions, public and private securities offerings, implementation of employee ownership stock and option plans, advice on structuring employment or compensation agreements for highly compensated individuals, and structuring buy-sell shareholder agreements for close corporations.
Mr. Webb presently serves on the Board of Directors of the Fairfax County Chamber of Commerce and is an active member of the steering committee for the Chamber’s International Business Committee (“IBC”) and the Chamber’s Political Action Committee (“NOVABizPAC”). Mr. Webb also serves on the Board of Directors of the Business Alliance – a regional not for profit promoting innovation and entrepreneurship. Mr. Webb has also been active in bar association activities, previously serving as Chair of the Business Law Section of the Virginia Bar Association (1999-2000), and previously served as Chair of the Tax Section of both the Virginia State Bar and the Fairfax Bar Associations. Mr. Webb has been active in multiple bar committees providing input to the legislative process for Virginia’s corporate and business laws, and has considerable experience as a lecturer before local, state and national groups on a variety of topics relating to business law.
Mr. Webb is the co-author of “Virginia Limited Liability Company - Forms and Practice Manual” - the leading treatise on the limited liability company form of entity under Virginia law.
Mr. Webb earned his B.A., with distinction, in 1977, and his M.B.A. and J.D., both in 1981, all three degrees from the University of Virginia. He is admitted to the Bar of the Commonwealth of Virginia, and is a member of the American, Virginia and Fairfax Bar Associations. Mr. Webb is listed in The Best Lawyers in America in the Corporate Law area, has been named both a "Washington DC Super Lawyer," a "Virginia Super Lawyer,” and a SmartCEO Magazine “Washington DC Smart Lawyer”and has an “AV” rating with the Martindale-Hubbell Law Directory.
Prior to joining Squire Sanders as a partner in 2001 as part of Squire Sanders’ establishment of its Northern Virginia office, Mr. Webb previously practiced law in Northern Virginia with Hazel, Beckhorn & Hanes (1981-1987), Hazel & Thomas, P.C (1987-1999), and Reed Smith Hazel Thomas LLP (1999-2001).
